Terms & Conditions

Our terms of service

Effective 1 May 2026. These terms govern your use of this website and any engagement of services with Grace Technologie S.A.R.L.

1. Definitions

"Grace Technologie" means Grace Technologie S.A.R.L., a limited liability company registered in Cameroon. "Client" means the legal entity or individual that engages Grace Technologie for services. "Services" means IT consulting, managed services, software development, cybersecurity, cloud infrastructure, and any other services described in a Statement of Work or Service Order. "Agreement" means these General Terms and Conditions together with any applicable Statement of Work.

2. Acceptance

Use of this website and/or engagement of our Services constitutes unconditional acceptance of these Terms. Grace Technologie reserves the right to modify these Terms at any time; continued use of the Services following publication of changes constitutes acceptance. Clients will be notified of material changes by email.

3. Services & Statements of Work

All Services are provided pursuant to a written Statement of Work (SOW) or Service Order signed by both parties. Each SOW defines scope, deliverables, timelines, pricing, and acceptance criteria. In the event of conflict between these Terms and an SOW, the SOW prevails for the specific engagement.

4. Payment Terms

Invoices are payable within 30 days of issue unless otherwise specified in the SOW. Late payments attract interest at 1.5% per month (18% per annum). Grace Technologie reserves the right to suspend Services where invoices remain unpaid for more than 15 days after the due date. All prices are exclusive of applicable taxes (VAT, withholding tax) unless stated otherwise.

5. Intellectual Property

Grace Technologie retains all IP rights in its pre-existing tools, frameworks, methodologies, and know-how. Upon full payment, the Client receives a non-exclusive, non-transferable licence to use deliverables for its internal business purposes. Custom developments commissioned under a SOW vest in the Client upon full payment, subject to a retained licence for Grace Technologie to use anonymised learnings and methodologies.

6. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services. Confidentiality obligations survive termination for 5 years. Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law or court order (with prior notice where permitted).

7. Data Protection

Where Grace Technologie processes personal data on behalf of a Client, it does so as data processor under a Data Processing Agreement (DPA) consistent with applicable law including the Cameroon Cybersecurity Act 2010/012 and the GDPR where applicable. Clients remain data controllers and are responsible for ensuring a lawful basis for processing.

8. Limitation of Liability

To the maximum extent permitted by law, Grace Technologie's aggregate liability for any claim arising from or related to the Services is limited to the total fees paid by the Client in the 3 months preceding the event giving rise to the claim. Grace Technologie shall not be liable for indirect, incidental, consequential, or punitive damages, loss of profit, or loss of data, even if advised of the possibility.

9. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, power outages, pandemics, cyberattacks by third parties, or civil unrest. The affected party must notify the other promptly and use reasonable efforts to mitigate the impact.

10. Term & Termination

These Terms remain in effect for the duration of any active SOW. Either party may terminate for material breach upon 30 days' written notice if the breach is not remedied within that period. Grace Technologie may terminate immediately for non-payment or Client insolvency. Upon termination, accrued payment obligations survive.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Cameroon. Disputes shall first be referred to senior management of both parties for good-faith negotiation (30 days). Unresolved disputes shall be submitted to the competent courts of Douala, Cameroon, or, if agreed in writing, to CCJA (OHADA) arbitration.

12. General

If any provision is found unenforceable, the remainder continues in full force. These Terms constitute the entire agreement on this subject matter and supersede all prior agreements. Notices must be in writing and delivered by email with read-receipt confirmation or by courier to our registered office.
